1) Who we are

The fin.studio website and software (“FinStudio”) are provided by FinSystems Ltd (“we”, “us”, “our”).

2) What these terms cover

These Terms of Service (“Terms”) govern your access to and use of fin.studio, the FinStudio desktop/web applications, documentation, downloads, trials, subscriptions, APIs, and any related content or services (collectively, the “Services”).
If you purchase a paid plan or license, the License & Subscription Terms (EULA) form part of these Terms.

 

3) Eligibility & accounts

You must be 18+ and able to form a binding contract. You are responsible for your account, credentials, and all activities under it. Keep your password secure and notify us promptly of any unauthorized use.

 

4) Software license & scope of use

Subject to these Terms and any applicable plan limits, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business or personal purposes.
You may not: (a) resell, sublicense, or provide the Services to third parties; (b) copy except for reasonable backups; (c) reverse engineer, decompile, or attempt to access source code except as permitted by law; (d) bypass technical measures or license limits.

 

5) Acceptable use

You agree not to:

  • violate any law or third-party rights;

  • upload or distribute malware or harmful code;

  • attempt to gain unauthorized access to the Services or other accounts;

  • scrape or harvest data where prohibited or beyond rate limits;

  • interfere with the integrity or performance of the Services or providers;

  • use the Services for unlawful trading, market abuse, or sanctions-restricted activity.
    Breaches may result in suspension or termination (Section 16).

 

6) No investment advice; educational use

FinStudio is a research/tooling platform. It does not provide investment advice, portfolio management, execution, or brokerage. Information may be delayed, incomplete, or inaccurate. You are solely responsible for your trading and investment decisions. See also our separate Risk Disclosure.

 

7) Third-party services & data

The Services may integrate third-party content, blockchains/DEXes, node providers, analytics, or payment processors. Their terms and privacy policies apply to their components, and we are not responsible for them. Availability of third-party services can change without notice.

 

8) Plans, fees, taxes, and billing

Prices are shown before taxes unless stated. You authorize us and our payment processors to charge all amounts due for your plan. You are responsible for applicable VAT/sales taxes per your billing details and place-of-supply rules.
Refunds and cancellations follow our Refund & Cancellation Policy.

 

9) Trials, renewals, and upgrades/downgrades

Trials (if offered) convert to paid unless cancelled before the end of the trial. Monthly/annual plans auto-renew unless cancelled before the next billing date. Plan changes may take effect immediately or on renewal depending on the product page.

 

10) Changes to the Services

We may update, improve, or modify features, or discontinue components, to maintain security, performance, or compliance. Where a change materially reduces core functionality of a paid plan, we will provide reasonable notice and options.

 

11) Intellectual property

All rights, title, and interest in the Services, FinStudio software, documentation, templates, and brand assets are owned by us or our licensors. Except for the license granted in Section 4, no rights are granted. Do not use our marks without permission.

 

12) Your content & feedback

If you upload or input content (e.g., configurations, strategies, datasets) you retain your rights to that content. You grant us a worldwide, non-exclusive license to host, process, and display it solely to provide and secure the Services.
If you provide feedback, you grant us a perpetual, royalty-free right to use it without obligation to you.

 

13) Confidentiality

Non-public information disclosed by a party marked or reasonably understood as confidential must be protected with reasonable care and used only to provide or receive the Services. This does not apply to information that is public, independently developed, or lawfully obtained from another source.

 

14) Security

We implement reasonable technical and organizational measures to protect the Services. You are responsible for securing your systems and devices and for implementing appropriate access controls, backups, and operational safeguards.

 

15) Compliance, export & sanctions

You must comply with applicable export control, sanctions, and anti-corruption laws. You represent that you are not a denied or restricted party and will not use the Services in embargoed jurisdictions or for prohibited end uses.

 

16) Term, suspension & termination

These Terms apply from your first use of the Services until terminated. We may suspend or terminate access immediately if: (a) you materially breach these Terms or the EULA; (b) your use poses security, legal, or operational risk; or (c) fees are overdue after notice.
You may terminate at any time by cancelling your plan and ceasing use. Upon termination, your license ends and you must uninstall any downloadable software. Sections that by their nature should survive (e.g., 6, 11–15, 17–22) will survive.

 

17) Warranties & disclaimers

To the maximum extent permitted by law, the Services are provided “as is” and “as available”, without warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability. We do not warrant third-party services or data.

 

18) Limitation of liability

To the maximum extent permitted by law, in no event will we be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, or goodwill, even if advised of the possibility.
Our total aggregate liability for all claims arising out of or relating to the Services is limited to the fees you paid to us for the Services in the 12 months preceding the event giving rise to liability, or £100/€100 if you have not paid any fees.
Nothing in these Terms excludes liability for fraud, or death/personal injury caused by negligence, or other liability that cannot legally be limited.

 

19) Indemnity

You will defend and indemnify us against third-party claims, damages, liabilities, and costs (including reasonable legal fees) arising from your unlawful use of the Services, your content, or your breach of these Terms.

 

20) Data protection & privacy

We process personal data as described in our Privacy Policy and Cookie Policy. Where we act as a processor on your behalf (enterprise features), our Data Processing Addendum (DPA) applies.

 

21) Open-source & third-party components

The Services may include open-source or third-party components subject to their own licenses. In case of conflict between such licenses and these Terms regarding those components, the component license controls.

 

22) Beta/pre-release features

We may offer beta features marked as such. They are provided as is, may be unstable or withdrawn at any time, and are excluded from any uptime or support commitments.

 

23) Governing law & jurisdiction

These Terms and any disputes or claims (including non-contractual disputes or claims) are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that consumers may benefit from mandatory local consumer rights.

 

24) Changes to these Terms

We may update these Terms from time to time. Material changes will be posted on the site and take effect upon posting (or, for paid plans, on the next renewal unless stated otherwise). Your continued use after changes take effect constitutes acceptance.

 

25) Miscellaneous

  • Entire agreement: These Terms, the EULA, and referenced policies (Privacy, Cookie, Refund, AUP, Risk Disclosure) form the entire agreement and supersede prior understandings regarding the Services.

  • Severability: If any provision is unenforceable, the remainder remains in effect.

  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign to an affiliate or in connection with a merger, acquisition, or asset transfer.

  • Force majeure: We are not liable for delays or failures due to events beyond our reasonable control.

  • Notices: We may provide notices by email to your account email or by posting within the Services. Legal notices to us must be sent to legal@fin.studio and to our registered office.

  • No waiver: Failure to enforce a provision is not a waiver.
